VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive, Norman Hay plc notifies the market of the following:

Norman Hay plc's capital consists of 14,815,318 ordinary shares with a nominal value of 10 pence each, with voting rights. Norman Hay plc does not hold any ordinary Shares in Treasury.

Therefore, the total number of voting rights in Norman Hay plc is 14,815,318.

The figure of 14,815,318 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Norman Hay plc under the FSA's Disclosure and Transparency Rules.
