Total Voting Rights and Share Capital

Pursuant to Disclosure and Transparency Rule 5.6.1, the Company confirms that as at 30 June 2010 the issued share capital of the Company is 38,425,320 ordinary shares of 10 pence each. Each ordinary share carries the right to one vote and none of the ordinary shares are held in treasury. Therefore the total number of voting rights in the Company share capital is 38,425,320.

The above figures may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or any change to their interest in, the share capital of Hyder Consulting under the Disclosure and Transparency Rules.
