Intermediate  Capital Group PLC (the "Company") has today issued to shareholders
the  annual report and  financial statements for  the year ended 31 March 2010.
 The  notice of annual general meeting 2010 and the form of proxy were posted to
shareholders on 2 June 2010.

Copies  of the annual report and financial statement for the year ended 31 March
2010, the  notice of annual general meeting 2010 and the form of proxy have been
submitted  to the UK Listing  Authority and will be  available for inspection at
the UK Listing Authority's Document Viewing Facility, which is situated at:

At  the annual  general meeting  due to  be held  on Tuesday 13 July 2010, it is
proposed  that the Company adopts new articles  of association. A summary of the
proposed  changes  is  set  out  in  appendix  3 to the notice of annual general
meeting 2010 and is available on the Company's website at:

Copies  of the proposed new articles of  association have also been submitted to
the UK Listing Authority.
