The Evolution Group Plc 2002 Executive Share Incentive Plan (the "Plan")
The Evolution Group PLC (the "Company") announces that an award of 200,000 ordinary shares in the capital of the Company ("Ordinary Shares") was yesterday made to Andrew Westenberger under the Plan in satisfaction of commitments made to him as part of his joining arrangements.
The award was granted for nil consideration. The exercise price is 1 pence per share. Subject to continued employment and the rules of the Plan, call rights will be granted in April 2013 whereupon they will become immediately exercisable.
Following the above transaction, Andrew Westenberger holds the following awards under the Plan and interests in the following number of Ordinary Shares under the Company's 2010 Joint Share Ownership Plan ("Partnership Equity Plan"):
