Directors' shareholding

The Company announces that at a board meeting held on 26 March 2010 share options over a total of 600,000 ordinary shares of 5p each in the Company were granted to the following Directors at a price of 89.5p per share, being the closing price on 25 March 2010:

The above share options are conditional on the achievement of certain performance criteria by the Company for the years ended 31 December 2011 and 2012.

As a result of the grant of these options, these Directors have the following interests in the ordinary share capital of the Company:

* Shares held under the Morson Group PLC Joint Ownership Plan, each of Paul Gilmour, Company Finance Director, and Kevin Gorton, Company Managing Director, has an interest in 250,000 ordinary shares of 5p in the Company. The beneficial interest in the Shares is jointly owned by Mr Gilmour and Appleby Trust (Jersey) Limited, as trustee of the Morson Group plc Employee Benefit Trust ("Trustee") and Mr Gorton and the Trustee as co-owners. Mr Gilmour and Mr Gorton hold no voting rights over the Ordinary Shares prior to the satisfaction of certain performance conditions. 

† The number of options outstanding has reduced for each of Messrs Gilmour and Gorton by 200,000 options as the performance criteria for these options was not achieved. Accordingly, prior to the grant of options announced above, both Mr Gilmour and Mr Gorton each had 181,942 options over ordinary shares of 5p each in the Company.
