Transfer of Treasury Shares

ARM Holdings plc ("the Company") announces that on 8 February 2010, the following ordinary shares have been transferred from treasury stock for the purposes of employees' share scheme allotments:

2500 ordinary shares at 132.5 pence per share

40,163 ordinary shares at 125 pence per share

3750 ordinary shares at 114.75 pence per share

3250 ordinary shares at 113.5 pence per share

27,849 ordinary shares at 105.5 pence per share

4818 ordinary shares at 102.64 pence per share

2597 ordinary shares at 110.4 pence per share

14,188 ordinary shares at 81 pence per share

843 ordinary shares at 85.4 pence per share

In addition, 12,756,969 ordinary shares have been transferred from treasury stock for the vesting of Share Awards under the Employee Equity Plan, the Long Term Incentive Plan ( " LTIP " ) and the Deferred Annual Bonus Plan ("DAB"). 

Following the above transfers of treasury stock, the Company held 40,528,523 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) was 1,303,527,173.
