Oxford Instruments plc (the "Company") announces that on 8 February 2010 the
following director's dealings took place:

Charles Holroyd, Executive Director exercised an SAYE Share Option over 1,032
shares at an option price of £1.83. This represents 0.001% of the Company's
issued share capital. Following this transaction, Charles Holroyd's
shareholding is 48,125 shares, representing 0.097% of the issued share capital
of the Company.
