3i Infrastructure plc (the "Company")

On 27 January 2010, Mr P Wagner, a Director and person discharging managerial responsibilities of the Company, indicated that he wished to resign. In accordance with the conditions attached to the Company's Fund Permit, the Jersey Financial Services Commission is required to approve the resignation proposal prior to the resignation taking effect. The effective date of his resignation will be announced when known.
