Minerva plc - Announcement of Interim Results and 
General Meeting

Minerva plc ("Minerva" or "the Company") will be announcing its Interim Results for the half year ended 31 December 2009 on Tuesday 23 February 2010.

Separately, as shareholders will be aware, the resolution to reappoint Oliver Whitehead as Chairman of Minerva was not passed at Minerva's Annual General Meeting ("AGM") on 4 December 2009.  Later that day, Minerva's Board announced that it had decided to reappoint Oliver Whitehead as Chairman.  This reappointment was made to ensure that Minerva had a strong, independent Chairman acting in the interests of all shareholders at the time of the unsolicited offer for the Company from KiFin Limited ("KiFin").  Excluding the vote of KiFin, 99.86% of shareholders voting at the AGM supported Oliver Whitehead's re-election.

On 8 January 2010, KiFin announced that its offer for Minerva had lapsed, with acceptances representing 0.08% of Minerva's share capital.  

The Board believes that Oliver Whitehead should remain as Chairman of Minerva and has canvassed opinion from a number of institutional shareholders regarding this matter.

In the light of KiFin's offer lapsing and the views of the shareholders canvassed, the Board has decided to convene a General Meeting ("GM") to allow all shareholders to vote on the reappointment of Oliver Whitehead as Chairman of Minerva.  This GM will take place shortly after the interim results.  Minerva will be sending a formal notice to shareholders convening the meeting.
