ATKINS SHARE INCENTIVE PLAN ("the Plan")

In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc ("the Company") was notified on 18 January 2010 that on 15 January 2010 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £6.286543 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
