VOTING RIGHTS AND CAPITAL

In conformity with the Disclosure and Transparency Rules, Shaftesbury PLC (the "Company") would like to notify the market of the following:

As at 12 January 2010, the Company's issued share capital consists of 227,037,926 Ordinary Shares of 25 pence each with voting rights. The Company does not hold any treasury shares. Therefore, the total number of voting rights in the Company is 227,037,926.

The above figure (227,037,926) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the Disclosure and Transparency Rules.
