OPD Group plc ("OPD or the "Company") announces that all resolutions proposed at the General Meeting  held earlier today were duly passed. Full details of the resolutions were set out in the circular to shareholders dated 17 December 2009 (the "Circular").

The table below shows the number of proxy votes received for and against each ordinary resolution:
