Announcement of transactions in AMEC plc ordinary shares of 50p each pursuant to Disclosure Rule 3.1.4

We notify you that Mr N Bruce, Executive Director of AMEC plc, has elected to receive 546 shares at 800p per share in lieu of the interim dividend paid on 4 January 2010.

Following this transaction, Mr Bruce holds 73,243 ordinary shares in the Company (representing 0.022% of the voting rights in the Company). Mr Bruce also has an interest in 275,778 restricted shares awarded under the Performance Share Plan 2002 and 129,768 restricted shares awarded under the Transformation Incentive Pan.
