issued by the Issuer and fully and unconditionally

Guaranteed by Banco Santander, S.A. (the "Prospectus")

Correction

We refer to the Prospectus, announced via the RNS on 4 December 2009 under RNS No 6496D.

The Prospectus contains an error on pages 11 and 92 when referring to the ISIN and CUSIP numbers of the Exchange Securities as US80281RAB87 and 80281RAB8 respectively.

The references in the Prospectus to the ISIN and CUSIP numbers of the Exchange Securities should be amended to read US80281R8887 and 80281R888 respectively.

All other details on the Prospectus remain unchanged.
