INCAGOLD PLC (the "Company")

Result of Extraordinary General Meeting

At the Extraordinary General Meeting of the Company held earlier today the resolutions to dispose of the Company's subsidiary undertaking, IncaGold GmbH, pursuant to the Business Transfer Agreement dated 1 February 2008, and to alter the Company's investing policy to seek to acquire another company or business in exchange for the issue of Ordinary Shares in a single transaction (a "reverse takeover") were duly passed.
