Imagination Technologies Group plc ('Company')

On 22 December 2009, Hossein Yassaie, the Company's Chief Executive Officer, received a long-term Share Award over 
2,250,000 ordinary shares of  l0p under the terms similar to the Employee Share Plan.

These shares will vest over the next five years in three tranches; as follows:

1st tranche of 750,000 shares will vest on 29 October 2012 
2nd tranche of 750,000 shares will vest on 29 October 2013 
3rd tranche of 750,000 shares will vest on 29 October 2014

The Share Awards will vest subject to the achievement of performance conditions.

The price of ordinary shares in the Company at the close of the market on 21 December was £2.26.
