NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Paul Dollin, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 22 December 2009, that on 21 December 2009 in London he acquired and then sold 5,676 ordinary shares of 0.5 pence each in the Company following the exercise of nil cost options granted under the Atkins Long Term Incentive Plan, the Atkins Retention Bonus Plan and the Atkins Deferred Bonus Plan. The acquisition and sale of 5,676 shares at a price of £6.040129 per share equated to 0.006% of the voting issued share capital.

Mr. Dollin has no interest in shares of WS Atkins plc following this notification.
