ATKINS SHARE INCENTIVE PLAN ("the Plan")

In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc ("the Company") was notified on 16 December 2009 that on 15 December 2009 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £6.300750 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
