RESULTS OF PLACING, DIRECTOR'S DEALING and MAJOR SHAREHOLDINGS

Matica announces that, following the 7 for 2 rights issue ("the Rights Issue"), the results of which were announced on 30 November, Westhouse Securities Limited has procured subscribers for a further 8,548,000 ordinary shares at a price of 10.5p per share (the "Placing"). The Placing has been conducted in line with the procedure in respect of shares not taken up in the Rights Issue detailed in the Rights Issue circular dated 20 October 2009. Application has been made for the Placing shares to be admitted to AIM and it is expected that trading will commence in these shares at 8.00am on Friday 18 December 2009.  

The total amount raised by the Company through the Rights Issue and the Placing is £2,054,035.10.

The Placing price of 10.5p per share is equal to the Rights Issue price of 10p per ordinary share plus the expenses of procuring the subscribers for the Placing and therefore there will be no net proceeds payable to shareholders.

Matica further announces that, as part of the Placing, Mr Sandro Camilleri, CEO of Matica, has subscribed for 4,313,000 further shares in the Company taking his total direct shareholding to 5,562,000 shares or 18.43% of the Company.  In addition to his personal shareholding, Sandro Camilleri wholly owns and controls S.C.L. Holdings SA, owns a majority holding in Manplus Holding PTE Ltd and controls Ramada Holdings Pte Ltd and Barnfield-SGPC LDA. The total amount of shares in the Company which Mr Camilleri is deemed to control is, therefore, 19,688,277 or 65.24% of the total issued share capital. 

Matica further announces that, following the Placing, its is aware of the following shareholders holding interests in shares representing 3% or more in the Company's issued share capital:
