NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Neil James Corfield Thomas, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 9 December 2009, that on 8 December 2009 in London he acquired and then sold 7,875 ordinary shares of 0.5 pence each in the Company following the exercise of nil cost options granted under the Atkins Long Term Incentive Plan, the Atkins Retention Bonus Plan and the Atkins Deferred Bonus Plan. The acquisition and sale of 7,875 shares at a price of £6.035 per share equated to 0.008% of the voting issued share capital.

Mr. Thomas's total interest in shares following this notification is 6,465 ordinary shares, representing 0.006% of the voting issued share capital of WS Atkins plc.
