Director's Transfer of Shares

The Company announces that it was informed yesterday that on 7 December 2009 Kate Bleasdale, Executive Vice Chairman of Healthcare Locums transferred 9,579,545 Ordinary Shares in the Company (which represents 9.15% of the Company's issued share capital) out of her total holding of 10,062,569 Ordinary Shares (which represents 9.61% of the Company's issued share capital) into Healthmark UK LLP ("Healthmark"), a limited liability partnership registered in England and Wales. The structure of Healthmark is such that Kate Bleasdale retains the ultimate beneficial ownership of such shares and retains voting control. The transfer of Ordinary Shares was for no consideration.

Following the transfer, it is emphasised that Kate Bleasdale retains her ultimate beneficial interest in 10,062,569 Ordinary Shares (which represents 9.61% of the Company's issued share capital) of which 9,579,545 Ordinary Shares are registered in the name of Healthmark and 483,024 Ordinary Shares are registered in the name of Kathleen Bleasdale and that Kate Bleasdale has not disposed of the ultimate beneficial interest of any of her shares in Healthcare Locums.
