At a Board meeting of Sunrise Diamonds plc held on 7 December 2009, the Board resolved to issue 6,000,000 warrants to employees and directors of the Company. The issue included the following Directors:

P.Cheetham :       2,000,000

F.Johnstone :       1,000,000

N.Herbert :           1,000,000

Each warrant is convertible to one new ordinary share at the price of 0.85 pence per share (the closing mid-market price on 7 December 2009) at any time within 4 years from 7 December 2010.

As a result of this issue of warrants the total number of warrants currently held by each Director is as follows:

P. Cheetham :      5,500,000

F. Johnstone :      3,000,000

N. Herbert :          3,000,000
