Total Voting Rights and Share Capital

In conformity with the Financial Service Authority's Disclosure and Transparency Rules, we would like to notify the market of the following:

Following the Placing and Open Offer, the issued share capital of Cathay International Holdings Ltd. ("Cathay" or the "Company") as at 7 December 2009 consists of 366,771,495 Common Shares of US$0.05 each (the "Common Shares"). 

In addition, there are 10,721,279 A Shares of par value US$0.05 each (the "A Shares") in issue. The A Shares are not admitted to trading on a regulated or prescribed market and no application has been made for the A Shares to be admitted to the Official List of the United Kingdom Listing Authority or any other market. The A Shares and the Common Shares rank equally in all respects save that each A Share carries 20 votes and each Common Share carries one vote. The A Shares are convertible into Common Shares on a one-for-one basis.

None of the Common Shares or the A Shares are held in treasury. 

The number of issued Common Shares (366,771,495) may be used by holders of the Common Shares as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Services Authority's Disclosure and Transparency Rules.

Special General Meeting Resolutions

Separately, the Company confirms that two copies of all resolutions passed at the Special General Meeting held on 4 December 2009 were submitted to the UK Listing Authority's Document Viewing Facility later the same day.
