NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Timothy Edward Arthur Askew, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 3 December 2009, that on 2 December 2009 in London he acquired 9,731 ordinary shares of 0.5 pence each in the Company following the exercise of nil cost options made under the Atkins Long Term Incentive Plan, the Atkins Retention Bonus Plan and the Atkins Deferred Bonus Plan. The acquisition of 9,731 shares equated to 0.01% of the voting issued share capital.

Mr. Askew's total interest in shares following this notification is 22,837 ordinary shares, representing 0.023% of the voting issued share capital of WS Atkins plc.
