            Purchase of Shares by Employee Benefit Trust



The company has been informed that, on 1 December 2009, the  trustees
of the G4S  Employee Benefit  Trust ("the  Trust") purchased  554,700
ordinary shares of G4S plc at £2.5108 per share.

Following the acquisition, 5,543,818 ordinary  shares of G4S plc  are
held by the Trust.

The executive directors of the  company and other persons within  the
company discharging managerial responsibilities are within the  class
of potential beneficiaries under the Trust  and are deemed to have  a
non-beneficial interest in these  ordinary shares.  However, none  of
these persons has acquired a beneficial interest in such shares.
