Total Voting Rights 

For the purposes of the Disclosure and Transparency Rules of the Financial Services Authority, the Board of Dimension Data Holdings plc (the 'Company') is required to notify the market of the following:

As at the date of this announcement, the Company's issued share capital consists of 1,699,750,288 ordinary shares with a nominal value of one US cent each, with voting rights ('Ordinary Shares') and 50,000 deferred shares of £1 each ('Deferred Shares'). The Deferred Shares are not listed, and the holders of the Deferred Shares have no rights to dividends and on a return of assets in a winding up, entitle the holder to the repayment on the amounts paid on the Deferred Shares after repayment of the capital paid on the ordinary shares plus the payment of $10 million per ordinary share.

Therefore the total number of Ordinary Shares in the Company with voting rights is 1,699,750,288.

The above figure 1,699,750,288 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
