NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Timothy Edward Arthur Askew, a person discharging managerial responsibilities of WS Atkins plc, (the "Company"), notified the Company on 30 November 2009, that on 25 November 2009 in London he purchased 1,600 ordinary shares of 0.5 pence each in the Company at a price of £6.13 per share, and 1,600 ordinary shares of 0.5 pence each in the Company at a price of £6.11 per share.  Mr. Askew holds 1,600 of these shares via a nominee and 1,600 shares jointly with his spouse via a nominee.  The acquisition of 3,200 shares equated to 0.003% of the voting issued share capital.

Mr. Askew's total interest in shares following this notification is 13,106 ordinary shares, representing 0.013% of the voting issued share capital of WS Atkins plc.
