Executive Share Incentive Plan 2003

The following conditional allocations of ordinary shares of 5^15/22 pence were made to the following directors of Associated British Foods plc on 23 November 2009 under the terms of the ABF Executive Share Incentive Plan 2003:

George Weston 128,974 shares

John Bason 86,608 shares

The allocation was made on the basis of an allocation price of 833.5 pence (being the average of the daily closing mid-market prices for the shares over the five consecutive days 16 to 20 November 2009 inclusive) in accordance with the terms of the Plan.
