Person discharging managerial responsibility shareholding

On 18 November 2009, Stephen McDermott exercised 750,000 ordinary shares under The ICAP plc 2001 Unapproved Company Share Option Plan at a price of 100.30p per share.

In order to meet the US tax liability which is incurred immediately on the exercise of those shares, Mr McDermott sold on the London Stock Exchange on 20 November 2009 a total of 750,000 shares at an average price of £4.3236 per share.  

Following these transactions, Stephen McDermott had an interest in 55,200 ordinary shares in the Company.
