TOTAL VOTING RIGHTS UPDATE

In accordance with the FSA's Disclosure and Transparency Rules sourcebook transitional provision 6, F&C Asset Management plc ("the Company") advises that, as at 31st October 2009, its capital consists of 499,070,424 shares. The Company also holds 11,645,675 shares in Treasury.

Therefore the total number of voting rights in the Company's ordinary shares is 487,424,749 which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
