BBA Aviation plc - Scrip Dividend Scheme 

Notification of Directors' Interests:

The Directors listed below elected to receive the Scrip Dividend alternative and were subsequently allotted BBA Aviation plc Ordinary Shares of 29 16/21 pence as follows:

The Company has received notification today from Halifax EES Trustees International Limited, the trustees of the BBA Group Employee Share Trust, that Simon Pryce, Group Chief Executive, has been allotted 1,830 BBA Aviation plc Ordinary Shares of 29 16/21 pence on 6 November 2009. The allotment was made in accordance with instructions under the Scrip Dividend Scheme in relation to the beneficial interests in shares which Simon Pryce has under the Company's 2006 Deferred Bonus Plan.  The Company has also received notification today from Newton Investment Management Limited that Simon Pryce has been allotted 3,577 BBA Aviation plc ordinary shares of 29 16/21 pence on 6 November 2009. This allotment was made in accordance with instructions under a Scrip Dividend Scheme mandate in relation to the beneficial interests in shares which Simon Pryce holds in a nominee account managed by Newton. Mr Pryce's total beneficial holding following this notification is 603,333 shares.

The Company has also received notification from Halifax EES Trustees International Limited, the trustees of the BBA Group Employee Share Trust, that Teresa Wood, wife of Andrew Wood, Group Finance Director, has been allotted 776 BBA Aviation plc Ordinary Shares of 29 16/21 pence on 6 November 2009. The allotment was made in accordance with instructions under the Scrip Dividend Scheme in relation to the beneficial interests in shares which Andrew Wood has under the Company's 2006 Deferred Bonus Plan. Mr Wood's total beneficial holding following these notifications is 253,925 shares.
