Total Voting Rights and Capital 

In conformity with the Transparency Directive the Company notifies the market of the following: 

The total number of Ordinary Shares of €0.32 each in issue as at the date of this notice is 276,782,351. Each Ordinary Share carries one vote. 

A total of 7,266,102 shares are held by Irish Life Assurance plc (a wholly owned subsidiary of Irish Life & Permanent plc). In accordance with section 9(1) of the Insurance Act, 1990, these shares carry no voting rights.

Accordingly, the total number of voting rights is 269,516,249.

The above figure (269,516,249) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their acquisition or disposal of direct or indirect voting rights in Irish Life & Permanent plc under the Transparency Directive and Rules of both the Irish Financial Services Regulatory Authority and the UK Financial Services Authority.
