following:

Alliance Trust PLC's issued share capital consists of 667,059,760 ordinary
shares with voting rights. Alliance Trust PLC does not hold any ordinary shares
in treasury.

The above figure (667,059,760) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, the Company under
the Financial Services Authority's 's Disclosure and Transparency Rules.
