Flying Brands Limited ("Flying Brands" or the "Company")

Placing of Shares

The Board of Flying Brands is pleased to announce that it has raised £1.76 million by way of a Placing ("the Placing") with new and existing shareholders of 2,344,582 new units (each unit comprising one ordinary share of one pence in the Company and one 'A' ordinary share in Flying Brands Holdings (UK) plc) at 75 pence per unit. The placing was arranged jointly by Singer Capital Markets and Liberum Capital.

The new funds will be used to repay a part of the Company's outstanding debt.

The Placing is unconditional save as to admission of the new units to trading. Application will be made to the UK Listing Authority and to the London Stock Exchange for these units to be admitted to the Official List and to trading on the London Stock Exchange's Main Market for listed securities and it is expected that dealings will commence at 8:00am on 20th October 2009.

The new units will rank parri passu in all respects with the existing issued units in the Company.

Following this issue, the Company's issued capital at 20 October 2009 will consist of 27,873,735 units with voting rights (one vote per unit).  The Company does not hold any units in Treasury.  Therefore, the total number of units in the Company with voting rights is 27,873,735.

The above figure of 27,873,735 units may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Service Authority's Disclosure and Transparency Rules.
