Dr. Martin Grant, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 12 October 2009, that on 29 September 2009 in London he acquired 23 ordinary shares of 0.5 pence each in the Company at £6.44 following the reinvestment of dividends for shares held in the Atkins Share Incentive Plan.
