Directors' Shareholding

The Company announces that today, with the approval of the Board under the Morson Group PLC Joint Ownership Plan, each of Paul Gilmour, Company Finance Director, and Kevin Gorton, Company Managing Director, has acquired an interest in 250,000 ordinary shares of 5p in the Company (the "Shares"). The Shares will be held jointly with Appleby Trust (Jersey) Limited, as trustee of the Morson Group plc Employee Benefit Trust ("Trustee").

A payment of not less than £0.01 per Share will be paid by Mr Gilmour and Mr Gorton for their respective interests in the relevant Shares (which, in broad terms, entitles them to the growth in value of those shares over a predetermined premium to the market price on the date Mr Gilmour and Mr Gorton acquire their interest). The number of Shares in which they will be permitted to retain those interests will be determined based on the extent to which certain performance conditions over the three years ending December 2011 have been achieved.  

The beneficial interest in the Shares is jointly owned by Mr Gilmour and the Trustees and Mr Gorton and the Trustees as co-owners. Mr Gilmour and Mr Gorton will hold no voting rights over the Ordinary Shares prior to the satisfaction of the performance conditions. 

Following the award, Mr Gilmour and Mr Gorton will have the following interests in the ordinary share capital of the Company:
