Notification of interests of directors/persons discharging managerial
responsibility and connected persons pursuant to DTR 3.1.4 R(1)

Friends Provident Group plc announces the transfer of 50,982 shares from the
Friends Provident Employee Share Trust to the trustees of the Friends Provident
Group plc Share Incentive Plan (SIP) at a price of £0.8373 per share to satisfy
the obligation to issue shares to SIP participants in September 2009.

On 7 October 2009, the Company received notifications from the following
persons discharging managerial responsibilities that, of the 50,982 ordinary
shares of 5 pence acquired by the trustees, they have each acquired shares
through the SIP as follows:
