Scrip Dividend

Pursuant to the authorisation given by Shareholders at the Annual General Meeting of the Company held on 8 September 2009 for the introduction of a Scrip Dividend Scheme, a Scrip Dividend Offer was made in respect of the final dividend for the year ended 31 March 2009 ("Final Dividend") payable on 9 October 2009 to Shareholders on the register at the close of business on 11 September 2009. 

The Scrip Dividend Reference Price has been calculated as being 85.95 pence, being the average of mid-market closing prices for the five consecutive dealing days commencing on 9 September 2009, the ex-dividend date.

Elections have been made by Shareholders to receive 48,216 ordinary shares of 25 pence each in the Company ("Shares") in lieu of cash in respect of all or part of the Final Dividend.

Application is therefore being made for the admission of 48,216 Shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities ("Admission"). The new Shares will rank pari pasu with the Company's existing issued Shares and dealings are expected to commence on 13 October 2009.

Copies of the circular containing, inter alia, details of the the Scrip Dividend and posted to Shareholders on 29 July 2009 have been filed with the UKLA's Document Viewing Facility, and will be available for inspection at:

Upon Admission the total number of Shares in issue, and therefore the total number of voting Shares, is 158,683,212 Shares. There are no Shares held in Treasury. The above figure may be used by Shareholders to determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
