Pursuant to transitional provision 6 of the Transparency Directive, DSG international plc's share capital consists 3,609,901,030 ordinary shares. The Company holds no shares in Treasury. Therefore, the total number of voting rights in the Company is 3,609,901,030. 

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, DSG international plc, under the FSA's Disclosure and Transparency Rules.
