Voting rights and capital                           

We hereby notify that Bodycote's share capital consists of 187,730,280 new
ordinary shares of 17 3/11th pence each. No shares are held in treasury.
Accordingly voting rights in respect of Bodycote's shares total 187,730,280
which figure may be used by shareholders as the denominator in calculating
whether they are required to notify an interest or change of interest in
Bodycote's share capital pursuant to the FSA's Disclosure and Transparency
Rules. Bodycote will update these figures monthly in the event of any change.
