AWARDS OF SHARE OPTIONS
BIOCOMPATIBLES INTERNATIONAL PERFORMANCE SHARE PLAN
On 11 September 2009 the following executive directors were granted awards entitling them to acquire ordinary shares of 21 53/94 pence under the Biocompatibles International Performance Share Plan as summarised below:

The awards will normally vest and become exercisable for a period of six months from the third anniversary of the grant date subject to continued employment and the meeting of a total shareholder return performance condition.
No consideration was paid for the grant of these awards and no consideration is due on the vesting on these awards.
BIOCOMPATIBLES INTERNATIONAL PLC SHARE INCENTIVE PLAN
On 11 September 2009 the following executive directors were conditionally awarded ordinary shares of 21 53/94p each as "free shares" under the all employee Biocompatibles International Share Incentive Plan as summarised below:

The risk of forfeiture attached to the free shares will normally be removed on the third anniversary of allocation subject to continued employment.
No consideration was paid by the grantees for the award of free shares and no consideration is due on the release of the free shares.
This notification is made in accordance with DR 3.1.4R(1).
Biocompatibles International plc was informed of the above transactions on 14 September 2009.
