TRANSFER OF TREASURY SHARES

In accordance with the provisions of Listing Rule 12.6.4, the Board of Hays plc
advises that on 9 September 2009 it transferred for nil consideration 28,822 
Ordinary shares currently held in Treasury to three participants (not PDMR's) 
to satisfy previously vested awards under the Hays plc Performance Share Plan.

Following this transfer, Hays plc holds 81,995,760 Ordinary shares in Treasury.
The number of shares in issue is 1,382,100,806 (excluding treasury shares).
