Amendment to Announcement regarding Placing of New Ordinary Shares and Notice of Extraordinary General Meeting

On 2 September 2009 Private & Commercial Finance Group plc (the 'Company') announced the successful completion of a conditional placing by Daniel Stewart & Company plc of 22,526,664 ordinary shares of 5 pence each in the capital of the Company (the 'Placing Shares') at a placing price of 6 pence per Placing Share, raising approximately £1.35 million before expenses (the 'Placing') together with the distribution of a circular to shareholders containing a notice of EGM to be held at The Atrium, 4 Millbank, London, SW1P 3JA at 11.00 a.m. on 25 September 2009 (the 'Circular').

In the announcement made on 2 September 2009, it was stated that the Placing Shares would represent 52.50 per cent. of the enlarged issued share capital of the Company.

This statement should have stated that the Placing Shares will represent 44.09 per cent of the enlarged issued share capital of the Company.

The same incorrect figure is included on page 3 of the Circular and the reference to 52.50 per cent of the enlarged issued share capital contained in the Circular, should also be read as being 44.09 per cent.
