North River Resources plc announces that at the Company's General Meeting ('GM') held on Wednesday 26th August 2009 all resolutions were duly passed.

The Company's share consolidation on the basis of 1 new ordinary share of 0.2 pence each for every 2 existing ordinary shares of 0.1 pence each will now proceed. A new line of stock will now replace the existing ordinary shares with new ISIN: GB00B3XGRQ09 ('New Ordinary Shares').

Following admission of the New Ordinary Shares to trading on AIM on 27 August 2009, the Company will have an issued share capital of 84,000,000 New Ordinary Shares.
