Announcement on Resolutions of 

The Fifth Meeting of the Fifth Session of the Board of Directors

The Fifth Meeting of the Fifth Session of the Board of Directors of Zhejiang Southeast Electric Power Company Limited (the 'Company') was convened on 19 August 2009 at Zhejiang Aigrette Resort, Hangzhou, Zhejiang Province, by way of a written notice issued on 7 August 2009 (the 'Meeting').  Fifteen (15) directors should be present and twelve (12) directors were present at the Meeting. Director Zhang Qian, Director Cao Lu and Director Liu Hong were absent from the Meeting due to other business arrangements, who respectively appointed Director Mao Jianhong, Director Wang Lina and Director Xing Junjie to attend the Meeting as proxies and vote on their behalf. The supervisors and senior management of the Company were present at the Meeting. The convening of the Meeting was in compliance with the stipulations of the Company Law and the articles of association of the Company and was therefore legal and effective.  The Meeting was chaired by Mr. Mao Jianhong, Chairman of the Company.

The following proposals were reviewed and approved at the Meeting:

1.      2009 Interim Report and Summary;

              Voting results: votes in favour of the resolution: 15 votes; votes against the resolution: 0 vote; 
              votes abstained: 0 vote.

      2.  Proposal on Adjustment of the Plan of Closure of Generating Units Nos. 1 - 6 of Taizhou 
           Power Plant

Proposal on closure of generating units Nos. 1 - 6 of Taizhou Power Plant (please refer to announcement on resolutions of the Board dated 29 November 2007) was reviewed and approved at the Seventeenth Meeting of the Fourth Board of Directors on 28 November 2007.  However, the plan was not implemented due to natural disasters in the wake of a chain of abnormal weather conditions, e.g. storm, blizzard and frost in early 2008.  

Pursuant to Notice of National Development and Reform Commission and State Energy Administration on Certain Opinions about Acceleration of Closure of Small Coal-fired Power Generating Units (Guo Fa [2007] No.2) and in consideration of power supply and demand in Zhejiang Province, the Company has made in-depth research and validations of the original closure plan under the guidance and coordination of relevant higher authorities. The plan has been adjusted.

The plan after the adjustment is: four (4) generation units (#2, #3, #4, and #5) will be closed in September 2009, whilst the remaining two (2) units (#1 and #6) will be closed by the end of 2010 considering the balance in the regional power supply.
