In accordance with DTR 3.1.4R (1), GKN plc (the "Company") announces that on 12
August 2009 the Executive Directors and other PDMRs received options/awards as
set out below under the GKN Executive Share Option Scheme 2004 ("ESOS") and GKN
Long Term Incentive Plan 2004 ("LTIP").

The options can be exercised between 12 August 2012 and 11 August 2019 to the
extent that certain performance criteria are satisfied by the Company over a
three year performance period, which commenced on 1 January 2009, and subject
to the satisfaction by the Executive Director/PDMR of a personal shareholding
requirement. No consideration was paid for the grant of the options.

extent that certain performance criteria are satisfied by the Company over a

to the satisfaction by the Executive Director of a personal shareholding
requirement. No consideration was paid for the grant of the awards and no
payment is due on exercise of the awards.
