Notification of Directors' Interests in Company Shares

The Company advises that on 4 August 2009 the following transactions took place:

Anthony Glossop, Non-Executive Chairman, exercised 590,000* share options in the Company under the 1997 Executive Share Option Scheme at an exercise price of 83.9 pence per share.  The options were granted in November 1999 and expire in November 2009.  The 590,000 share options being exercised represent approximately 0.3% of the Company's issued share capital. Following the exercise, Mr Glossop sold 552,118 ordinary shares of 10 pence each in the Company ('Ordinary Shares) at a price of 216 pence per share. Following the transaction, Mr Glossop's resultant shareholding is 1,931,000 Ordinary Shares representing approximately 0.96% of the issued share capital of the Company, which includes 180,000 Ordinary Shares held legally but not beneficially by Mr Glossop. 

Bill Oliver, Chief Executive, exercised 202,960* share options in the Company under the 1997 Executive Share Option Scheme at an exercise price of 113.5 pence per share over 70,800 share options and 169.4 pence per share over 132,160 share options. The options were granted in September 2002 and August 2003 respectively. The 202,960 share options being exercised represent approximately 0.1% of the Company's issued share capital. Following the exercise, Mr Oliver sold 202,960 Ordinary Shares at a price of 216 pence per share. Following the transaction, Mr Oliver's resultant shareholding is 314,157 Ordinary Shares representing approximately 0.16% of the issued share capital of the Company.  

*As a result of the Firm Placing and Placing and Open Offer the Company's outstanding share options were adjusted in accordance with the Rules of the 1997 Executive Share Option Scheme. 

Tim Haywood, Finance Director, sold 10,000 Ordinary Shares at a price of 214.5 pence per share. Following the transaction, Mr Haywood's resultant shareholding is 155,324 Ordinary Shares representing approximately 0.08% of the issued share capital of the Company.
