AGM Statement

                      NOSTRA TERRA OIL AND GAS COMPANY PLC
                            ("NTOG" or the "Company")


                                  AGM Statement

24 July 2009

At  the  Company's  Annual  General Meeting to be held  at  12:30pm  today,  the
Chairman will be making the following statement:

"I  would  like to take the opportunity to update shareholders on the  Company's
strategy moving forward following the appointment of Mr Matt Lofgran as our  new
CEO and the announcement on 15 July of the acquisition of oil and gas properties
in Kansas, USA.

"In  order  to  increase the returns for shareholders we feel the best  strategy
currently is to acquire oil and gas assets in areas of low political risk,  with
low  geological risk, with existing production or near production.  On  15  July
2009  we  announced the first acquisitions in line with this strategy.   We  are
very  happy  to  have  acquired these properties.  Each  property  has  existing
wellbore,  which should result in substantial savings of time and  money.   This
also translates to a quicker and more economical route to create production  for
NTOG.   At  the same time we announced a partnership with Hewitt Petroleum,  Inc
(HPI)  where  HPI  will  develop the properties with us  and  will  act  as  the
operator.   HPI is a proven operator in the area and adds substantial  value  to
the partnership.

"Your Board is currently working up a development plan for the acquisitions  and
is  in  the process of obtaining updated reserve reports for the properties.  We
will  make announcements to the market as appropriate, initially on the  Hoffman
property.   The  Directors are pleased with the initial feedback  and  are  also
encouraged  by  initial  flow rates from a new well on an  adjacent  lease,  one
kilometre from our property which targets the same zones.

"We  are  very excited with the Company's prospects and look forward to updating
shareholders over the coming months."
