Directors' Trading Plans

On 1 June 2009 PGI Group Plc (the 'Company') posted a circular to its shareholders outlining proposals to cancel the admission of its ordinary shares to the Official List and to trading on the Main Market of the London Stock Exchange (the 'Cancellation'). A general meeting of the Company was held on 23 June 2009 at which the Cancellation was approved by the requisite majority of shareholders. It is anticipated that the Cancellation will become effective on Wednesday 22 July 2009 and that the last day on which the ordinary shares in the Company will be traded on the Main Market of the London Stock Exchange will be Tuesday 21 July.

In the circular that was posted to shareholders on 1 June it was stated that the directors of the Company would not be able to trade in the shares of the Company in the period from 30 June 2009 until the Cancellation became effective (the 'Close Period') owing to the restrictions imposed on them under the model code for directors' dealings set out in the Listing Rules of the UK Listing Authority (the 'Listing Rules'). However, each of the directors of the Company has today entered into a trading plan (as that term is defined in the Listing Rules) which will allow Panmure Gordon (UK) Limited to purchase shares in the Company on the directors' behalf during the Close Period.
