COMPLETION OF PLACING

The Board of Carlton is pleased to announce the completion on 26 June 2009 of the placing of new Ordinary Shares to raise £400,000, as announced on 12 May 2009.

Application has been made for the 142,857,143 Placing Shares and the 12,500,000 Strand Shares to be admitted to trading on AIM on 2 July 2009.

The Board of the Company further announces that, in line with the cash preservation and expenditure minimisation policy previously announced by the Company, it has resolved to allot and issue 27,381,670 new Ordinary Shares ('Loan Shares') and 27,381,670 warrants ('Warrants') in full settlement of debts totalling approximately £125,000 owed by the Company pursuant to existing loan arrangements. Each Warrant is convertible into one Ordinary Share, at a conversion price of 0.1p. 

Application has been made for the Loan Shares to be admitted to trading on AIM on 2 July 2009. Following the issue of the Placing Shares, the Strand Shares and the Loan Shares, the Company will have 451,004,390 Ordinary Shares in issue.
